Terms of service

These terms are an agreement between you and Invoist ("we," "us," "our"), and govern your use of the Invoist website, product application, and API (together, the "Service"). By creating an account or otherwise using the Service, you agree to these terms.

Last updated: November 1, 2026

1. Eligibility

Invoist is a business tool. You must be at least 18 years old and using the Service for business, professional, or commercial purposes, not as a personal consumer. If you use Invoist on behalf of a company or another organization, you confirm that you have the authority to bind that organization to these terms, and "you" refers to that organization as well as you personally.

2. The Service

Invoist reads invoice and receipt documents you submit and turns them into structured data: vendor, dates, amounts, line items, and related fields. Around that reading it offers categorization, checks, a review queue, analytics, exports, and an API. The Service is not a bookkeeping, accounting, tax, legal, payment, or debt-collection platform, and nothing in the Service constitutes financial, accounting, tax, or legal advice. You remain responsible for your own bookkeeping, tax filings, and payment decisions.

3. Automated reading, accuracy, and flags

The Service reads documents using automated, AI-assisted extraction. Automated reading is not guaranteed to be complete or correct. That is why results carry confidence scores, why fields the Service cannot read are left blank, and why the application includes a review queue: these tools exist for you to verify the output. You are responsible for reviewing extracted data before relying on it for accounting, tax, payment, or any other decision, and for the consequences of decisions made on unreviewed or unverified data.

The Service may flag documents that look unusual, such as changed bank details, amounts outside a vendor's usual range, or likely duplicates. Flags are heuristic signals meant to prompt a second look. They are not determinations of fraud, and the absence of a flag is not an assurance that a document is genuine, accurate, or safe to pay. You alone decide whether and how to pay any invoice, and to the maximum extent permitted by law we are not liable for payments you make or decline to make, including payments made to a fraudulent or incorrect account.

4. Your account and workspaces

  • You are responsible for keeping your login credentials and API keys confidential, and for all activity under your account and API keys. Tell us immediately at [email protected] if you suspect unauthorized access.
  • You are responsible for the documents and information you submit, and for having the legal right to hold and process them, including any personal data they contain about vendors, customers, or other people.
  • If your workspace has more than one member, the workspace owner is responsible for who they invite and what role each member holds. If you use the email-in feature, you are responsible for the sender addresses and domains you authorize, and documents accepted from them count toward your usage.
  • If you operate a firm that manages client workspaces, you confirm you have each client's authority to access and process their workspace and its documents, and you are responsible for your staff's access and actions within those workspaces.

5. Plans, trials, and billing

  • Paid plans. There is no free tier. Plans and their included document volumes are described on the pricing page and billed in advance on a recurring basis through Stripe. Document usage beyond a plan's included volume is covered by prepaid credits, purchased at the pack prices shown on the pricing page. Credits do not expire.
  • Free trial. A first subscription to the smallest plan on each track starts with a 3-day free trial. A card is required at checkout, and the first charge happens automatically when the trial ends unless you cancel before then. One trial per workspace.
  • Credit packs. One-time credit purchases are consumed by usage, do not renew, and are non-refundable once purchased, except where required by law.
  • Auto-renewal. Paid subscriptions renew automatically at the end of each billing period until you cancel. You can cancel at any time from Settings; cancellation takes effect at the end of the current billing period, and we do not provide prorated refunds for the unused portion of a period, except where required by law.
  • Price changes. We will give you reasonable notice before a price increase takes effect on your next renewal. Continuing to use a paid plan after a price change takes effect means you accept the new price.
  • Taxes. Fees are exclusive of any applicable sales, VAT, or similar taxes, which Stripe may calculate and add at checkout depending on your location.

6. Your content

You retain ownership of the documents you upload and the data extracted from them. You grant us a limited license to host, process, transmit, and display that content solely to provide the Service to you, including sending documents to the AI provider that performs the reading, as described in our Privacy policy. We do not use your documents or extracted data to train AI models. Anything the Service learns from your corrections, such as a vendor's usual category, stays inside your own workspace.

7. Acceptable use

You agree not to:

  • Upload documents or data you do not have the legal right to hold or process;
  • Use the Service for any unlawful purpose, including money laundering, fraud, or processing documents connected to unlawful activity;
  • Attempt to bypass plan limits, usage metering, security controls, or rate limits, or interfere with the infrastructure that delivers the Service to other users;
  • Probe, scan, or test the security of the Service without our prior written permission;
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except where applicable law gives you that right despite this restriction;
  • Resell or provide the Service to third parties as your own product without our written agreement, other than building your own product on the API as intended; or
  • Upload malicious code or content, or use the Service in any way that could disable, overburden, or impair it.

We may suspend or terminate accounts that violate this section, with or without notice depending on the severity of the violation.

8. API and SDK

The API and our client libraries may be used to build your own products and integrations on top of the Service, within your plan's rate limits and volumes. You are responsible for how your product presents extracted data to your own users, including making clear where review is appropriate. If your product exposes our reading results to others, you may not present them as guaranteed accurate.

9. Third-party integrations

The Service can optionally connect to third-party tools you choose, including accounting platforms such as QuickBooks or Xero, AI assistants through our MCP server, and other software you authorize through our API or OAuth apps. Your use of any connected tool is also governed by that tool's own terms, and connections to accounting platforms are agreements between you and those platforms. We do not control, and are not responsible for, the availability, behavior, or data handling of third-party tools you connect, even when the connection itself is provided by us.

10. Intellectual property

We own the Service, including its software, design, and branding, aside from content you provide. Subject to these terms, we grant you a limited, non-exclusive, non-transferable license to use the Service for your own business.

11. Feedback

If you send us suggestions, ideas, or feedback about the Service, you agree that we may use them without restriction or obligation to you, including without payment.

12. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law. Without limiting section 3, we do not warrant that extraction results, categorizations, checks, or flags will be accurate, complete, or fit for any particular purpose, or that the Service will be uninterrupted or error-free. Delivery of digests and other email depends on third-party providers and recipients' own mail systems, which we do not control.

13. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising from or related to your use of the Service, even if we have been advised of the possibility of such damages. This includes, without limitation, losses arising from inaccurate or incomplete extraction results, from acting or not acting on a flag, or from payments made in reliance on data from the Service. To the maximum extent permitted by law, our total liability to you for any claim arising from these terms or the Service is limited to the amount you paid us in the twelve months before the claim arose, or fifty euros if you have not paid us anything. Nothing in these terms limits liability that cannot be limited under applicable law, such as liability for our gross negligence, willful misconduct, or death or personal injury we cause.

14. Indemnification

You agree to defend, indemnify, and hold us harmless from any claim, liability, damages, and expense (including reasonable legal fees) arising from your use of the Service, the documents and data you submit, the products you build on the API, your violation of these terms, or your violation of any law or third-party right, including data protection laws that apply to the documents you process through the Service.

15. Termination

You may stop using the Service and delete your account at any time from Settings or by contacting support. We may suspend or terminate your access if you materially breach these terms, including the acceptable use section, if required to comply with the law, or if we discontinue the Service, with notice where reasonably possible. On termination, your right to use the Service ends; we will retain your data only as described in our Privacy policy.

16. Changes to the Service and these terms

We may change, add to, or remove features of the Service, and may update these terms, as Invoistdevelops. If a change to these terms is material, we will notify you by email or through the product before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated terms; if you do not agree, you should stop using the Service and delete your account.

17. Governing law and disputes

These terms are governed by the laws of Finland, without regard to conflict-of-law rules. Because you are using Invoist for business purposes, any dispute, controversy, or claim arising from or relating to these terms or the Service, including its formation or validity, will be finally resolved by arbitration administered by the Finland Chamber of Commerce's Arbitration Institute (FAI) under its rules then in force. The arbitration will be seated in Helsinki, Finland, conducted in English, and decided by a single arbitrator. Any arbitration will proceed only on an individual basis; neither party may bring a claim as a plaintiff or class member in any purported class, collective, or representative proceeding, and the arbitrator has no authority to combine claims from more than one party. Either party may instead bring an individual claim in small-claims court where available, and either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.

18. General

  • Entire agreement. These terms, together with our Privacy policy, are the entire agreement between you and us about the Service, and replace any earlier agreements about it.
  • Severability. If any part of these terms is found unenforceable, the rest remains in full effect, and the unenforceable part will be read to accomplish its intent as closely as the law allows.
  • No waiver. If we do not enforce a right under these terms, that does not waive our ability to enforce it later.
  • Assignment. You may not assign these terms without our consent. We may assign these terms in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, such as internet or infrastructure outages, natural disasters, or actions of a government.
